1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NYM Ltd ("NYM", "we", "our", or "us") governing your access to and use of the NYM platform, including our website, applications, and AI-powered storyboarding services.

By accessing or using NYM, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Eligibility

You must be at least 16 years old to use NYM. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using NYM on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Services Description

NYM provides an AI-powered storyboarding platform that enables users to:

• Create visual storyboards through conversational AI
• Generate characters, products, and scene assets
• Collaborate with team members in real-time
• Export and share completed storyboards

Features may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

5. Subscription and Payments

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.

Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at your next billing cycle.

6. Intellectual Property

Your Content

You retain ownership of the content you create using NYM, including storyboards, characters, and other creative assets. By using our services, you grant us a limited license to host, store, and display your content as necessary to provide the services.

Our Platform

NYM and its original content, features, and functionality are owned by NYM Ltd and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform without our express written consent.

7. Acceptable Use

You agree not to use NYM to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Generate content that is harmful, threatening, abusive, or discriminatory
• Create content depicting minors in inappropriate contexts
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the platform or other users' experience
• Use automated systems to access the service without permission
• Resell or redistribute our services without authorization

8. AI-Generated Content

NYM uses artificial intelligence to generate content. You acknowledge that:

• AI-generated outputs may not always be accurate, appropriate, or suitable for your needs
• You are responsible for reviewing and editing AI-generated content before use
• We do not guarantee that AI outputs will not infringe third-party rights
• You should not rely solely on AI-generated content for critical decisions

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of NYM shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Disclaimer of Warranties

NYM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Indemnification

You agree to indemnify, defend, and hold harmless NYM and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the services, your content, or your violation of these Terms.

12. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.

Upon termination, your right to use NYM will cease immediately. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of NYM after changes become effective constitutes acceptance of the revised Terms.
